Anthony E. Santoriello

Anthony is a corporate partner who advises companies and entrepreneurs on all of their business law needs, including formation, operation, intellectual property registration and protection, business expansion strategies, acquisition and sale. Anthony provides strategic legal services and business counseling to clients such as social media influencers, brand ambassadors and YouTubers to protect copyright material, negotiate and draft contracts for advertisement deals and provide overall business advice as they advance their careers. He drafts, reviews and negotiates terms for a variety of name, image and likeness NIL-related contracts from intellectual property to sponsorships and merchandising. Franchise systems turn to Anthony for assistance in all aspects of their businesses, including compliance, franchisor-franchisee negotiations, relationship management and state franchise regulation and renewals. In addition, he represents financial institutions in connection with financial services-related regulatory and transactional matters. Possessing the unique ability to foresee issues raised at the outset of a relationship, and to understand how each commercial contract works within the business objectives of an organization, as well as the organization's existing contracts, Anthony advises clients on the full lifecycle of commercial contracts from initial contract drafting and negotiation through maintenance, as well as review and, if necessary, renegotiation of existing commercial contracts. He also provides detailed reviews and updates of ongoing commercial relationships for an organization and provides risk level assessments. Anthony is responsible for the ongoing maintenance of some of the largest commercial contracts for a number of companies, including multinational banks. He assists in structuring the myriad commercial relationships and ensures that any contract reflects the business needs of his clients. His experience includes contracts covering outsourcing, sales, services distribution, e-commerce, information technology contracts, licensing, marketing, manufacturing, supply chain, maintenance and support, real estate and equipment leases, customer contracts, employment and consulting agreements, asset or stock purchase agreements, joint venture agreements and online terms and conditions. Anthony also advises entrepreneurs and their companies in business law matters, including formation, operation, intellectual property registration and protection, business expansion strategies, acquisition, and sale. Anthony services franchise systems in all aspects of their businesses, including compliance, franchisor-franchisee negotiations, relationship management and state franchise regulation and renewals. In addition, Anthony represents financial institutions in connection with financial services-related regulatory and transactional matters. With experience representing financial institutions that provide working capital and acquisition facilities for corporate transactions in various forms, Anthony is well versed in handling matters for borrowers and lenders in secured and unsecured debt financings. Prior to joining PIB Law, Anthony served as counsel at Friedman, Rosenwasser & Goldbaum, P.A., where he represented corporate clients in all of the areas described above. Previously, Anthony served as co-founder and general counsel at DLA Industries Inc., as well as general counsel at Janifast Incorporated, each a contract manufacturing and sourcing company. He was actively involved in the day-to-day operations of the businesses and responsible for drafting and negotiating all related legal documents, including commercial, employment and formation documents. Prior to his in-house positions, Anthony was an associate at Lowenstein Sandler, where his practice focused on mortgage banking/finance, corporate finance, mergers and acquisitions, and advising business clients on day-to-day operations involving general corporate matters. Outside of the office, Anthony has coached youth sports, including baseball, softball, basketball and soccer for many years.

Judge Cohen served as a Judge of the Superior Court of New Jersey for over 23 years. He was appointed by the Chief Justice as the Presiding Judge of the Chancery Division, General Equity and Probate Part since 1998. When he was first appointed to the bench in 1981, Judge Cohen served in the Juvenile and Domestic Relations Court, where he presided over family matters. In 1984 he became a Judge of the Superior Court, Law Division and presided over more than 200 criminal jury trials, including several capital cases and many public interest cases. He was also given the distinction by the Chief Justice as one of eight judges in the State authorized to review wiretap applications and was named as an Executive Judge. Once he was appointed to the Chancery Division, General Equity and Probate Part, he oversaw complex general equity and probate litigation until he retired in 2004. After retiring, Judge Cohen continued to serve as a Judge on recall and presided over approximately 50 termination of parental rights matters. During his tenure as a Judge, he also served on both the Supreme Court Committee on Criminal Practice and the Supreme Court Committee on Civil Practice. Before his appointment to the bench, Judge Cohen served from 1977 to 1981 as the first General Counsel and Director of the Legal Division of the New Jersey Casino Control Commission. From 1970 to 1977, he served as an Assistant Prosecutor and then Chief of the Appellate Section in the Essex County Prosecutor's Office, where he argued many cases, including 28 reported decisions, in the Appellate Division of the Superior Court of New Jersey, the Supreme Court of New Jersey, the United States District Court (NJ), and the Third Circuit Court of Appeals. Judge Cohen is a member of the American Bar Association (Dispute Resolution Section), the Association of the Federal Bar of New Jersey, the New Jersey State Bar Association (Equity Juris Prudence Committee) and the Essex County Bar Association (Professionalism Committee). In 2011, the Essex County Bar Association presented Judge Cohen with the Samuel S. Saiber Professional Achievement Award. In 2012, Judge Cohen was named to the 2013 edition of Best Lawyers of America in the field of Alternative Dispute Resolution. In 2013, Judge Cohen was elected to the Fellows of the American Bar Foundation, a non-profit organization dedicated to advancing justice through rigorous research on the law, legal practices, and the law's impact on our society. Also in 2013, Judge Cohen was inducted as a Charter Member of the National Academy of Distinguished Neutrals New Jersey Chapter. The Academy is the nation's largest professional association of premier civil-trial mediators and arbitrators.
