Alexander McClain

Alex McClain is the head of Global Project Finance at Moarbes. He focuses his practice on sovereign funds, secured debt, trade finance, corporate/mezzanine finance, real estate, telecommunications, and energy infrastructure matters. Mr. McClain assists governments, NGOs, and private sector parties seeking to finance, construct, and operate public private partnerships and joint ventures, as well as entities seeking to build capital investments and funds in developing markets. He also has significant experience handling acquisitions, sales, and roll-ups of companies and real property assets, and he has structured ventures through start-up, capitalization, and exit financings. He works closely with CEOs and CFOs to determine the appropriate equity and debt financing vehicles to meet clients' transactional requirements. Alex is experienced in addressing corporate governance, operating and stockholder agreements, joint venture agreements, and related matters for companies. Alex has represented parties in transactions involving private and public debt financings, the acquisition of distressed asset portfolios, and structuring and closing multi-layered debt tranches. His transactional experience includes: debtor-in-possession and exit financings; workouts and restructurings; private equity financings, including acquisition and leveraged buyout financings; structured, asset-secured, and working capital financings; cash flow financings; factoring and related transactions; second lien financings; investment fund financings, including fund of funds financings; subordinated and mezzanine debt offerings; municipal bond and certificate of participation financings; and alternative collateral financings in the domestic and foreign markets. Experience: Represented energy companies and infrastructure sponsors for projects that exceeded $2.5 billion in Africa, Asia and Latin America.

Djurdja Lazić

Djurdja is partner at Moarbes LLP since 2017. She specializes in the fields of international dispute settlement and arbitration. In addition, Djurdja provides counsel to venture capital funds and VC-backed companies in connection with their fundraising, governance and investment activities. Before joining Moarbes LLP, Djurdja directed the Howard Holtzmann Center for International Dispute Resolution at the American Society of International Law and assisted the Bahrain Chamber for Dispute Resolution in launching an international arbitration journal. She publishes on the topics of international arbitration and public international law. Originally from the former Yugoslavia, Djurdja is fluent in Bosnian, Croatian, and Serbian, as well as English and German. Geoffrey Mason

Geoffrey Mason is the senior U.S. Partner of Moarbes and the head of its IP, FinTech and Life Sciences Practices. He has over a dozen years experience managing and trying computer hardware, software and pharmaceutical patent cases and developing patent prosecution and enforcement strategies. His experience includes litigating patents relating to WiFi and internet infrastructure technologies, as well as representing brand and generic companies in Hatch-Waxman litigations relating to many blockbuster drugs, including Prozac®, Lovenox®, Augmentin®, Concerta®, Strattera® and Cymbalta®. He has also developed patent prosecution and enforcement strategies for well known products like Risperd al-Consta® as well as for early stage technology companies still developing their products. Mr. Mason acts as general counsel to medical device, pharmaceutical, cryptocurrency, manufacturing, social networking, and other technology companies, with an emphasis on patent and intellectual property strategy and litigation. He assists life sciences companies specifically with patent strategy and litigation as well as FDA strategy and compliance. Mr. Mason helps FinTech companies comply with securities, money transmission, AML, KYC and corporate laws in both the initial coin offering (ICO) and general cryptocurrency and FinTech settings. Experience: Eli Lilly v. Wockhardt et al.: Defended Wockhardt against two Lilly patents covering duloxetine (Cymbalta®), a $5 billion drug in the United States alone. Developed defenses that convinced Wockhardt to litigate solo against Eli Lilly after all remaining defendants ceased to actively litigate.

Ms. Caline Mouawad is a senior Partner of Moarbes and head of its corporate practice. She is a member of the Beirut Bar since 1997. She holds a J.D. from Université Saint-Joseph and an MBA from Ecole Supérieure des Affaires (ESA). She represents numerous Fortune 500 companies, banks, as well as state-owned entities and high net-worth individuals in corporate matters. She has specialized knowledge of taxation matters under Lebanese Law.
