Adam C. Reeves

Adam is a Member in Stoll Keenon Ogden's Lexington office and joined the firm in 2016. He is Chair of SKO's Appellate practice and is focused on Business and Health Care Litigation. Adam represents corporations, organizations, and individuals throughout Kentucky in federal and state court litigation involving business and criminal torts. He also advises clients on Antitrust Law and on internal and government investigations. Before joining SKO, Adam worked as an Assistant United States Attorney in the Eastern District of Kentucky, where he obtained jury verdicts in prosecutions for white-collar crimes and asset forfeiture. In this role, he honed his skills as an appellate lawyer by briefing and arguing appeals before the U.S. Court of Appeals for the Sixth Circuit. Adam attended the William & Mary School of Law and, after graduating, clerked for the Honorable Eugene E. Siler Jr., a Senior Judge on the U.S. Court of Appeals for the 6 th Circuit. For his many legal achievements, Adam has been recognized as a Rising Star by Kentucky Super Lawyers® and is recognized in the Best Lawyers in America® list. As a further testament to his leadership skills, he has earned the rank of Eagle Scout, an accomplishment reflected in the honest and responsive service he provides to his clients every day at the firm. Appellate: Adam chairs this practice group and regularly briefs and argues appeals on behalf of clients in both state and federal appellate courts. He is also an active American Bar Association's Appellate Practice Committee member and frequently authors publications on appellate practice and legal issues. Business Litigation: Adam represents businesses and individuals in disputes and complex litigation involving business torts, including breaches of contract and fiduciary duty, fraud, and enforcement of shareholder agreements. He has successfully obtained jury verdicts in both civil and criminal trials and has obtained summary judgment and injunctive relief for clients in both state and federal court. He also represents clients in out-of-court settings where he helps resolve disputes through mediation and arbitration. Healthcare Litigation: In this ever-changing area of law, Adam offers representation based on his broad understanding of the industry and its regulatory concerns. He provides strategic counsel on civil, criminal, and administrative matters for hospitals, physician groups, assisted-living facilities, and various other industry entities. Antitrust, Trade Regulation & Franchise: Adam routinely presents to industry and trade groups on Antitrust law, and consults with clients seeking to navigate Antitrust law in their business transactions and decisions.

Allison J. Donovan

Allison is a Member of Stoll Keenon Ogden's Lexington office and has been with the firm since 2006. She concentrates primarily on Business Services, Banking, and Mergers & Acquisitions, but also contributes to several other practice groups at SKO. Allison also serves on the finance committee for the firm. For clients in the banking and corporate sectors, and a host of other industries, Allison draws on her substantial knowledge of general business law to offer legal counsel on matters ranging from entity formation to real estate financing. Allison also assists financial institutions in navigating the complex regulatory framework that governs their activities. She has represented public and private entities before federal and state agencies, including the Federal Reserve, FDIC, OCC, and Kentucky Department of Financial Institutions. She works collaboratively with these agencies to address issues on behalf of clients. Among other recognitions, Allison has the distinction of being honored as a Rising Star by Kentucky Super Lawyers® for five consecutive years and is listed in the Best Lawyers in America® . Business Services: Allison focuses on activities associated with the structuring of businesses, including the raising of capital through private placements and crowdfunding. Beyond the realm of entity formation, she advises on mergers, acquisitions, and other business combinations. In finalizing these transactions, she drafts and negotiates agreements, produces closing documents, and assists with obtaining the necessary regulatory approvals. Banking: Allison guides financial institutions on supervisory and enforcement matters, the negotiation of buy and sell agreements, and drafts documents relating to various transactions. She routinely counsels clients on lending regulations, including those pertaining to insider loans (Regulation O), transactions between banks and affiliates (Regulation W), and acquisition activities of bank holding companies (Regulation Y). She has represented private and public banks of various sizes and has particular experience working with community banks. Mergers & Acquisitions: Named an Attorney of the Year by Corporate INTL in this complex field of law, Allison has significant expertise to assist with the purchase or sale of any type of business. Real Estate: Allison provides services relating to commercial real estate acquisitions, dispositions, and leasing, which are often components of the business transactions she handles.

Allyson Breeden

Allyson joined Stoll Keenon Ogden's Evansville office in 2022 as a member and is a part of the firm's Healthcare, Business Litigation, and Family Law Services practice groups. An experienced attorney within multiple industries, she represents individuals, businesses, healthcare organizations, municipalities, and schools in a variety of legal matters in front of administrative agencies, state courts, and federal courts. Allyson defends claims involving medical malpractice, professional liability, and bodily injury. She has represented doctors and other healthcare providers, hospitals, rehabilitation facilities, and healthcare corporations throughout Indiana. She also represents healthcare providers in administrative licensure matters and provides legal counsel regarding liability in the healthcare environment. Allyson is also an Adoption Fellow of the Academy of Adoption and Assisted Reproduction Attorneys and is especially passionate about children and the adoption process. Over her career, she has facilitated the finalization of hundreds of adoptions by representing adopting parent(s) in contested and uncontested adoption matters. Allyson currently represents Vanderburgh County Court Appointed Special Advocates (CASA), a non-profit organization that secures volunteer advocates to speak for abused and neglected children in the court system to ensure they are in a safe living environment. In addition, she has extensive experience in guardianship, divorce, and other family law matters. Allyson has been a presenter at seminars conducted by the Indiana School Board Association and the Indiana Counsel of Administrators of Special Education. She authored Policies, Procedures, and Litigation over Service Animals in Schools, Indiana School Board Association, Special Education Seminar (2014), Transition Planning Under IDEA and Article 7, Indiana School Board Association, Special Education Seminar (2010); A School's Duty to Open its Doors and Databases to Outside organizations and to Distribute their Flyers, Indiana School Board Association, School Law Seminar (2007) (co-author with Patrick A. Amelia M. Adams

A commercial attorney with experience in a variety of industries, Amelia advises businesses as they navigate financial and operational concerns. She works alongside clients to understand the intricacies of their day-to-day, ensure they have the legal tools required to guide their organizations and develop creative options for addressing obstacles. As a Member, she practices in Stoll Keenon Ogden's Lexington office with the Bankruptcy & Financial Restructuring and Business Litigation practice groups and contributes to several other groups. Amelia brings a strong professional background to any engagement. Prior to joining SKO, Amelia engaged in private law practice with a boutique firm focused on bankruptcy, debtor/creditor relations, and civil litigation, and she served as Judicial Law Clerk to the Honorable Tracey N. Wise, Chief Judge of the U.S. Bankruptcy Court for the Eastern District of Kentucky. She was also a vice president and senior trust officer at a large regional bank, where she worked with estate and trust planning, investments, and banking administration. Amelia devotes significant time to serving non-profit organizations, both inside and outside the legal profession, and has years of involvement with board governance, charitable giving, and event management. She serves on the Kentucky Bar Association Board of Governors and is a Past President of the Fayette County Bar Association and the Junior League of Lexington. She also previously served as Executive Director of the Kentucky Bar Foundation and IOLTA Fund, which is the statewide charitable arm of the Kentucky Bar Association. Combined with her other professional endeavors and undergraduate studies in accounting, that service has equipped Amelia to provide valuable advice to both for-profit and non-profit entities. Bankruptcy & Financial Restructuring: Amelia offers skilled guidance in insolvency situations. She counsels clients in reorganizations, liquidations, and out-of-court workouts, including debtors and creditors in Chapter 7, 11, 12, and 13 bankruptcy cases. Her clients have included banks, credit unions, other lenders, physicians, marinas, hemp companies, trucking companies, manufacturers, coal operators, cattle stockyards, commercial landlords, a gas jobber and convenience store operator, a clothing retailer, and a specialty shipping company. Business Litigation: Amelia advises clients regarding complex civil disputes and has represented parties in bankruptcy-related adversary proceedings and state and federal court litigation. Although she is prepared to litigate matters to a conclusion where doing so is advisable, Amelia understands that each client and matter involves unique considerations that could make employing alternative dispute resolution strategies more appropriate than continuing litigation, and she uses her training as a mediator to achieve negotiated resolutions. She works with a team of trial attorneys at SKO that have earned the Firm recognition by Benchmark Litigation as a leading litigation firm in Kentucky. Business Services: Utilizing her background in accounting and financial restructuring, Amelia assists business clients with addressing operational concerns. She reviews commercial contracts and leases, analyzes opportunities for clients to strengthen their positions, and negotiates resolutions when contractual disputes arise. She also offers insight regarding board governance and best practices, effective internal and external corporate messaging, and non-profit administration.
